5.3 Changes and Modifications

Any changes or modifications to the scope of work must be requested in writing and may result in additional charges. We reserve the right to adjust pricing based on changes to project scope, material costs, or unforeseen site conditions.

6. PAYMENT TERMS

6.1 Payment Schedule

Payment terms will be specified in individual construction contracts. Unless otherwise agreed in writing, standard payment terms may include deposits, progress payments, and final payment upon completion. All payments are due within the timeframes specified in the contract.

6.2 Late Payments

Late payments may be subject to interest charges at the maximum rate permitted by law. We reserve the right to suspend work if payments are not received according to the agreed schedule.

6.3 Accepted Payment Methods

We accept various forms of payment including cash, check, credit cards, and bank transfers. Specific payment methods will be outlined in individual contracts.

7. WARRANTIES AND GUARANTEES

7.1 Workmanship Warranty

7.2 Material Warranties

Materials are warranted according to the manufacturer's warranty terms. We will assist in facilitating warranty claims but are not responsible for manufacturer defects or failures.

7.3 Disclaimer of Warranties

In no event shall our total liability to you for all damages exceed the amount paid by you, if any, for accessing the Website or one thousand dollars ($1,000), whichever is greater.

We can assist in the permit process as outlined in individual contracts, but ultimate responsibility for permit compliance rests with the property owner.

15. FORCE MAJEURE

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16. DISPUTE RESOLUTION AND ARBITRATION

16.1 Informal Resolution

In the event of any dispute arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute through good faith negotiations.

16.2 Binding Arbitration

If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree that any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the county where Stonewood Construction, Inc. maintains its principal place of business.

16.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND STONEWOOD CONSTRUCTION, INC. INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW, (A) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER; (B) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (C) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

17. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State in which Stonewood Construction, Inc. maintains its principal place of business, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in the county of our principal place of business.

18. TERMINATION

We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Website will immediately cease.
